SUMMARY OF ORDINANCE NO. 17-002 AN ORDINANCE AUTHORIZING THE ISSUANCE AND CONFIRMING THE SALE OF LOCAL IMPROVEMENT DISTRICT NO. 7A BOND, SERIES 2017 IN THE PRINCIPAL AMOUNT OF $7,803,155.70; RATIFYING THE LOAN AGREEMENT WITH THE IDAHO DEPARTMENT OF ENVIRONMENTAL QUALITY; CREATING LOCAL IMPROVEMENT DISTRICT NO. 7A BOND FUND AND INTEREST FUND FOR PAYMENT OF THE BOND; CREATING AND ESTABLISHING A RESERVE FUND TO SECURE PAYMENT OF THE BOND; PRESCRIBING RELATED DETAILS AND PROVISIONS CONCERNING THE FOREGOING; REPEALING CONFLICTING PROCEEDINGS; PROVIDING IRREPEALABILITY; PROVIDING SEVERABILITY; AND PROVIDING FOR PUBLICATION AND EFFECTIVE DATE. A summary of the principal provisions of Ordinance No. 17-002 (the "Ordinance") of the Hayden Lake Recreational Water and Sewer District, Kootenai County, Idaho (the "District"), adopted on April 26, 2017, is set forth below. Capitalized terms used in this summary shall have the meaning given them in the Ordinance. Section 1: Definitions. Defines certain capitalized terms used in the Ordinance. Section 2: Authorization and Sale of Bond; Ratification of IDEQ Loan Agreement. Authorizes the District's Local Improvement District No. 7A Bond, Series 2017 in the aggregate principal amount of $7,803,155.70 (the "Bond") to finance certain costs of Improvements in Local Improvement District No. 7A ("LID No. 7A"); authorizes the sale of the Bond to the Idaho Department of Environ- mental Quality ("IDEQ") to evidence the out standing balance due under the IDEQ Loan Agre- ment between the District and IDEQ, net of the funds paid by the District and the amount of pre- paid assessments, plus accrued interest on the proceeds of the loan to the date of issuance of the Bond. Section 3: Bond Details. Describes the Bond and its terms of repayment over 20 years pursuant to amor- tized payments of principal and interest at the rate of 2.0% per annum, calculated on the basis of 365 or 366 days, and provides for the substan- tial form of the Bond to be attached to the Ordi- nance. Section 4: Optional Redemption. Provides that the Bond is subject to redemption prior to maturity in whole or in part on any date, at par, pursuant to the provisions of the Ordinance. Section 5: Creation of Bond Fund and Interest Fund; Pledge of Funds. Creates the Bond Fund and Interest Fund to be held by the District wherein all pay ments of levied assessments within LID No. 7A, including principal and interest, shall be deposited. Pledges monies held in the Bond Fund and Interest Fund for payment of the Bond pursuant to the IDEQ Loan Agreement. Section 6: Creation of Reserve Fund. Creates a Reserve Fund pursuant to the LID Code and the IDEQ Loan Agreement to secure payment of the Bond, to be funded by the District in the total amount of $477,275.18 (in equal annual installments over ten (10) years). Section 7: Execution and Authentication of Bond. Provides for execution and authentication of the Bond by the District's officials. Section 8: Registration of Bond. Names the District Administrator as the Bond Registrar for the Bond to maintain the District's Bond Register. Section 9: Lien Effective Date. Declares the assessments and the interest thereon a lien in the amounts assessed against each lot or tract of land within LID No. 7A, superior to the lien of any mortgage or other encumbrance, whether prior in time or not, until paid. The liens are effective as to the lots or tracts in LID No. 7A as of March 15, 2017, the date of recordation of the notice of Ordinance No. 17-001, the assessment levy ordinance. Section 10: Rights of Bond Owner. Provides that, when issued, the Bond shall transfer to the IDEQ, or designee thereof, all the rights and interest of the District in and with respect to every assessment against the property within LID No. 7A and authorizes IDEQ or designee thereof to receive and have collected the assessments through any of the methods provided by law for the collection of assessments for local improvements; and pledges to IDEQ or its designee the exercise of all lawful corporate powers in the collection of the assessments for the redemption of the Bond. Section 11: Conflicting Actions Repealed. Repeals all ordinances, resolutions and parts thereof in conflict with the provisions of the Ordinance, to the extent of such conflict. Section 12: Ordinance Irrepealable. Provides the Ordinance shall be and remain irrepealable until the Bond and the interest thereon shall be fully paid and discharged. Section 13: Severability. Provides that if any section of the Ordinance is invalid or unenforceable, that invalidity will not affect the remainder of the Ordi nance. Section 14: Publication and Effective Date. After passage and adoption of the Ordinance, provides that this summary shall be published once in the official newspaper of the District, and upon such publication shall be in full force and effect.
