WHEREAS, the Industrial Development Corporation of the City of Post Falls, Idaho (the "Issuer"), acting through its Board of Directors (the "Board"), is authorized by title 50, chapter 27, Idaho Code, as amended (the "Act"), to issue and sell its Industrial Development Revenue Bond (ATC-Treaty Rock, LLC. Project) Series 2015 (the "Bond") in an aggregate principal amount of not to exceed $3,900,000; WHEREAS, the Board adopted an Inducement Resolution on September 30, 2014, acknowledging the request of ATC-Treaty Rock, LLC (the "Company") for the Issuer to issue its Bond to finance all or a portion of the acquisition, installation, improvement, construction and/or equipping of a manufacturing facility (the "Project") on land owned by the Company located in Post Falls, Idaho, which facilities will be operated by ATC Manufacturing, Inc., together with certain costs in connection with the issuance of the Bond; WHEREAS, the Issuer proposes to enter into a Loan Agreement dated as of January 1, 2015 (the "Loan Agreement") with Washington Trust Bank, as purchaser of the Bond (the "Bank") and the Company, as borrower, specifying the terms and conditions of the sale by the Issuer of the Bond to the Bank, the loan of the proceeds of the Bond by the Issuer to the Company to finance the costs of the Project, and the issuance by Company of a promissory note in favor of Issuer to evidence the loan (the "Note"); WHEREAS, to secure the loan, the Company shall deliver a Deed of Trust (the "Deed of Trust") and an Assignment of Rents dated January 1, 2015 (the "Assignment of Rents") in favor of the Issuer; WHEREAS, to further secure the loan, the Borrower, John Hemmingson, an individual residing in Spokane, Washington, proposes to enter into a Guaranty in favor of Issuer dated January 1, 2015 (the "Guaranty"); WHEREAS, to secure payment of the Bond, the Issuer, pursuant to the Loan Agreement, shall enter into an Assignment (the "Assignment") to assign to the Bank Issuer's interests in the Note and Deed of Trust, and certain of its interests in the Loan Agreement, including all payments due thereunder from the Company, and the Assignment of Rents and Guaranty; WHEREAS, the forms for the following documents have been prepared and submitted to this Board: (a) Loan Agreement (b) Note (c) Deed of Trust (d) Bond (e) Assignment of Rents (f) Guaranty (g) Assignment NOW, THEREFORE, BE IT RESOLVED by the Board of Directors of the Industrial Development Corporation of the City of Post Falls, Idaho, as follows: SECTION 1. Prior Proceedings Ratified. All actions (not inconsistent with the provisions of this Resolution) of the Issuer, the Board and its officers and agents, taken in connection with the issuance and sale of the Bond, are hereby ratified, confirmed, and approved. SECTION 2. Authorization and Approval of Documents. The Issuer is hereby authorized to issue and sell the Bond to the Bank and to lend the proceeds of the Bond to the Company to finance the Project, and to pledge and assign the loan payments due under the Loan Agreement to the Lender. The Loan Agreement, Bond, and Assignment, together with the Assignment of Rents any other related documents in the form submitted to this meeting, are hereby approved and ratified in all respects, together with such changes to such documents as shall not be inconsistent herewith as approved by the President, Vice President or Secretary of the Issuer, which approval shall be conclusively evidenced by execution and delivery thereof; and such documents are hereby directed to be executed in the name and on behalf of the Issuer by the President, Vice President and Secretary of the Board, as applicable. The Issuer also approves the forms of the Note, Deed of Trust, the Guaranty submitted to this meeting to be signed by other participants referred to in the preambles to this Resolution, together with such changes thereto prior to their execution as shall not be inconsistent with this Resolution. Further, financing statements are hereby authorized to be filed to perfect the security interests in the pledged collateral as assigned to the Bank. SECTION 3. Statement of Election. The Issuer hereby elects to have Section 144(a)(4) of the U.S. Internal Revenue Code apply to the issuance of the Bond. The Company has verified or, prior to delivery of the Bond, will verify that it is the sole principal user of the Project and that upon issuance of the Bond, there will be no other obligations of any state, territory or possession of the United States or any political subdivision thereof the proceeds of which are or will be used primarily with respect to facilities (a) the principal user of which is the Company or related persons as defined in Section 144(a)(4) of the U.S. Internal Revenue Code, and (b) which are located within Post Falls, Idaho. The Company will further verify that capital expenditures within three years prior to issuance of the Bond with respect to facilities located within the same area, plus the original principal amount of the Bond and all such capital expenditures incurred within the three years after the issuance of the Bond will be less than $20,000,000 and the principal amount of the Bond and outstanding face amount of prior issues, if any, as described in Section 144(a)(2) of the U.S. Internal Revenue Code outstanding on the Closing Date, did not exceed $10,000,000. SECTION 4. Further Documents and Certificates. The President, Vice President and/or Secretary are authorized and directed to execute any and all documents and do any and all things determined necessary in order to effect the accomplishment of the issuance, sale and delivery of the Bond, and securitization thereof, and to deliver the necessary documents to the proper parties as requested to carry out the intended purposes of this Resolution. SECTION 5. Findings of the Public Corporation. In reliance upon delivery of an approving legal opinion from Bond Counsel, Hawley Troxell Ennis & Hawley LLP, the Board hereby finds and determines that the interest on the Bond will be exempt from income taxation by the federal government. SECTION 6. Limited Obligation. The Bond shall not constitute or become a debt of the State of Idaho, the city of Post Falls, Kootenai County, or of any other municipal corporation, quasi-municipal corporation, subdivision or agency of this state or a pledge of any or all of the faith and credit of any of these entities. The Bond shall be payable solely from the revenues derived as a result of the industrial development facilities funded by the Bond, including, without limitation, amounts received under the terms of any financing document or by reason of any additional security furnished by the user of the industrial development facility in connection with the financing thereof, any money and other property received from private sources. The Bond shall contain on its face statements to the effect that: (a) Neither the State of Idaho, the city of Post Falls, Kootenai County , nor any other municipal corporation, quasi-municipal corporation, subdivision or agency of the state is obligated to pay the principal or the interest thereon; (b) No tax funds or governmental revenue may be used to pay the principal or interest thereon; and (c) Neither any nor all of the faith and credit nor the taxing power of the State of Idaho, the city of Post Falls, Kootenai County, or any other municipal corporation, quasi-municipal corporation, subdivision or agency thereof is pledged to the payment of the principal of or the interest on the Bond. SECTION 7. Publication and Limitation on Legal Action. In accordance with the provisions of Section 50-2718 of the Act, this Resolution shall be published one time in The Coeur d'Alene Press, a newspaper of general circulation in the municipality. For a period of thirty (30) days from the date of such publication, any person in interest may file suit in any court of competent jurisdiction to contest the regularity, formality, or legality of the proceedings, authorizing the Bond, or the legality of this Resolution and its provisions, or of the Bond, to be issued pursuant thereto, and the provisions securing the Bond. After the expiration of such thirty-day period, no one shall have any right of action to contest the validity of the Bond, or of such proceedings, or of this Resolution, or the validity of the pledges and covenants made in such proceedings, and the Resolution and the Bond and the provisions for its payment shall be conclusively presumed to be legal, and no court shall thereafter have authority to inquire into such matters. SECTION 8. Conflicting Actions Repealed. All ordinances, resolutions, orders and regulations, or parts thereof, heretofore adopted, or passed, which are in conflict with any of the provisions of this Resolution are, to the extent of such conflict, hereby repealed.
