LAKES HIGHWAY DISTRICT Kootenai County, Idaho LOCAL IMPROVEMENT DISTRICT NO. 1 BONDS, 2010 $208,375.08 SUMMARY OF ORDINANCE NO. 2010-09 AN ORDINANCE of the Lakes Highway District, Kootenai County, Idaho, authorizing the issuance and sale of Local Improvement District No. 1 Bonds, 2010 in the aggregate principal amount of $208,375.08, authorizing the form, interest rate, maturity and covenants of the bonds; providing for the registration and authentication of the bonds; providing for the payment of both the principal of and interest on the bonds from assessments collected from property owners within Local Improvement District No. 1; and authorizing the sale of the bonds. Section 1. Definitions. Defines certain capitalized terms used in the Ordinance. Section 2. Use of Bond Proceeds. The Bonds are being issued for the purpose of providing long-term financing for costs of the Project. The proceeds of the sale of the Bonds will be deposited into the Construction Fund and used to pay or reimburse costs of the improvements constructed within Local Improvement District No. 1 ("LID No. 1"). Any proceeds received as a result of accrued interest shall be deposited into the Interest Fund. Section 3. The Bonds. The Bonds are hereby authorized to be issued, sold and delivered to the Underwriter, and shall be designated the "Lakes Highway District Local Improvement District No. 1 Bonds, 2010." The Bonds shall be dated as of their date of delivery, shall be issued in the aggregate principal amount of $208,375.08, shall be in denominations of $5,000 each or any integral multiple thereof within a single maturity (except for one Bond in the denomination of $3,375.08) and shall be issued only in fully registered form. The Bonds shall be substantially in the form set forth in Section 19 of the ordinance. Interest on the Bonds shall be payable commencing August 1, 2011, and annually thereafter on each August 1 until the respective dates of maturity or prior redemption of the Bonds. Interest shall be calculated on the basis of a 360-day year consisting of twelve 30-day months. Redemption Prior to Maturity. Provides for optional redemption and notice to redeem the Bonds prior to the date of maturity, under certain terms and conditions. Section 5. Execution and Authentication of the Bonds. Authorizes procedures for execution and authentication of the Bonds. Section 6. Registration. Provides for the system of registration and appoints U.S. Bank National Association as s registrar, authenticating agent, paying agent, and transfer agent with respect to the Bonds, providing a system for recording the ownership of the Bond that complies with the provisions of Section 149 of the Code and other administrative details relative to the Bonds. Section 7. Defeasance of the Bonds. Provides for defeasance of the Bonds, which allows for the redemption and retirement of the Bonds in advance of the date of their maturity. Section 8. Cancellation of Surrendered Bonds. Provides that Bonds surrendered to the Registrar for payment, redemption, transfer or exchange, as well as Bonds surrendered by the District for cancellation, shall be canceled immediately by the Registrar and returned to the District. Section 9. Mutilated, Lost, Stolen or Destroyed Bonds. Makes provision in case a Bond is lost, stolen or destroyed. Section 10. Pledge of Assessments. Provides that the Bonds are obligations of the LID No. 1, and as such, the local improvement district assessments to be collected therein are pledged for the payment of the Bonds and the interest to accrue thereon. The officers now or hereafter charged by law with the duty of collecting such assessments for the payment of the Bonds and the interest thereon shall, in the manner provided by law, collect the assessments payable into the Bond Fund and the interest payable into the Interest Fund. Section 11. Bond Fund and Interest Fund. Confirms the creation of the Bond Fund and Interest Fund, for the purpose of depositing the collection of assessments on the property into the proper fund to make the principal and interest payments on the Bonds. Section 12. Construction Fund. Confirms the creation of the Construction Fund for the purpose of paying for the improvements constructed within LID No. 1 and to repay any interfund loans made by the District for such purposes. Section 13. Covenants Regarding Assessments. Provides that assessments collected will be used to pay the principal of and interest on the Bonds. Section 14. Tax Covenants. Includes covenants to comply with federal tax requirements and contains a special designation under the Internal Revenue Code. Section 15. No Undertaking to Provide Ongoing Disclosure. Provides that the Bonds are not subject to ongoing disclosure pursuant to Securities and Exchange Commission Rule 15c2-12. Section 16. No Personal Recourse. Provides that no recourse shall be had for any claim based on the Ordinance or the Bonds against any Director, officer or employee, past, present or future, of the District or of any successor body as such, either directly or through the District or any such successor body, under any constitutional provision, statute or rule of law or by the enforcement of any assessment or penalty or otherwise. Section 17. Ratification. Authorizes the Board or other authorized official of the District to take appropriate steps to carry out the terms and provisions of, and complete the transactions contemplated by the Ordinance. Section 18. Contract; Severability. Provides that other covenants and agreements in the Ordinance are not affected if one is made invalid. Section 19. Form of Bonds. Describes the form of the Bonds. Section 20. Sale of the Bonds Authorized. Authorizes the appropriate officers of the District to execute the offer to purchase the Bonds, which provides that the Bonds shall be sold to Richards, Merrill & Peterson, Inc., as underwriter. Section 21. Validity of Issuance. The Bonds are issued pursuant to the Local Improvement District Act, Idaho Code Sections 50-1701 through 50-1771, inclusive. The foregoing recital is conclusive evidence of the validity of the Bonds and the regularity of their issuance. Section 22. Publication and Right of Appeal. Pursuant to Idaho Code Section 50 1727, the Ordinance, or a summary hereof substantially in the form attached hereto as Exhibit "A", shall be published once in the official newspaper of the District. Any contest or proceeding to question the validity or legality of the Ordinance, or of any ordinance, resolution, or proceeding heretofore taken with respect to LID No. 1 or of the Bonds authorized hereby shall be brought in any court by any person for any cause whatsoever after the expiration of thirty (30) days from the publication of the ordinance, and after such time the validity, legality, and regularity of the ordinance and any ordinance, resolution or proceedings with respect to LID No. 1 or the Bonds authorized hereby, shall be conclusively presumed. Section 23. Repealer. Provides that all ordinances or parts thereof in conflict are, to the extent of such conflict, repealed, and shall have no further force or effect. Section 24. Effective Date. Provides that the Ordinance shall take effect from and after its passage and publication as required by law.
